Many ways to do what you want to do.
This is what I recommend you do.
1st reset the Admin.password and  get into win2k and get things in order b/4 you 
move up to XP if that's what you want to do.

I don't recommend a Upgrade to XP from win2k, always do a clean install of OS is 
the best way to go.
You will just need to take my word for it.
I do recommend a dual boot system (win2k and XP) so you can besure if you like XP 
b/4 you drop win2k.
The XP will do all the work for you or you can use a 3rd party software program like 
Part.Magic 8.0 to setup a new partition to put XP on or you can use a slave drive 
also.
When you setup the partition for XP use the same format you are now using for win2k 
 (NTFS or the fat32)
Once you have XP on the machine then reinstall the programs you want to keep and 
then move the DATA over from the win2k OS .(doc,mp3,jpg,email,address book,etc.)

 Austrumi (v0.9.2 - December 2004)

Austrumi is a Linux bootable ISO image for recovering NT passwords and other cool 
tools and methods, sized for Business Card size CD media (50Mb). 
It allows you to change any password, including that of the Administrator, on a partition 
occupied by Windows NT, Windows 2000 or Windows XP. 
Simply boot the CD and when you get to the initial boot prompt, type:

    nt_pass

This will launch a console utility that will detect Windows partitions on the hard 
disk and provide you with a menu to modify any user or Administrator passwords on 
the Windows system. 
It will even give access to the Windows registry for recovery purposes. 
Quite a handy utility to keep in your wallet (AUSTRUMI is small enough to fit on 
a business card-size CD) if you are unfortunate enough to having to deal with Windows 
machines in your line of work.
