There are a few possible causes for being unable to shutdown.

It most likely is caused by a stubborn program. I suggest closing all the programs 
you have running. Then hit Ctrl-Alt-Del, select anything that isn't "Explorer" or 
"Systray" and press "End Task". Continue to do this until all that remains in the 
Close Program box are "Explorer" and "Systray". Now try to shut down your computer.

If you are able to shut down your computer, use the process of elimination to figure 
out which program is causing your computer to not shut down.

If the above does not solve your problem, there may be a driver problem. Did you 
just purchase a computer with WinME installed or did you upgrade from another OS? 
If you upgraded, were you able to Shut Down before upgrading? Have you recently upgraded 
any hardware on your computer? Also, what brand of computer do you have (COMPAQ, 
HP, DELL, Custom Made, etc)?
