1. your system is too slow for XP.
2. trying install over 98 or me won't work well
3. format your disk for NTFS. Then put in you upgrade
disk. XP will prompt you saying you do not a O.S. on this system. Then it will ask
for the 98 or ME disk. This is only to prove you have a previous version of windows.
Then you can go ahead and install from the upgrade disk.
