It should be in C:\WINDOWS\system32\Restore.

It's on the XP CD as \I386\RSTRUI.EX_. Use the expand command to uncompress it from there to where it belongs.

Enter expand /? at a command prompt for usage information.

Be aware that this is also a possible sign of a malware infection as one of the things some malware does is try to disable System Restore. If you're not sure, follow directions at any of the following sites. The folks there are dedicated to malware removal and will be able to help you determine if your system is infected and if so how to clean it up. They require that you register but they are all free. Also be patient as they are usually very busy:
